NOTICE: This software and all associated intellectual property are the exclusive
property of Werner Harmonic Labs. Unauthorized use, copying, modification,
distribution, or commercialization is strictly prohibited.

1. GRANT OF LICENSE
   Subject to payment of applicable fees and execution of a WHL License Agreement,
   WHL grants licensee a non-exclusive, non-transferable, revocable license to use
   this software solely for the purpose(s) specified in the License Agreement.

2. RESTRICTIONS
   a) No reverse engineering, decompilation, or disassembly
   b) No sublicensing without written WHL approval
   c) No removal of proprietary notices, watermarks, or metering code
   d) No circumvention of governance gates, tollbooth metering, or audit chains
   e) No use in life-critical systems without WHL Certified Safety License (Tier 3+)

3. TOLLBOOTH METERING
   This software contains metering infrastructure ("Tollbooth") that records
   governance decisions, computation receipts, and system events. Tampering with,
   disabling, or circumventing the Tollbooth constitutes license termination and
   may result in legal action. Metered usage determines billing under usage-based
   license tiers.

4. SAYO SIGLO ROYALTY
   All Trickle-Tech exports, derivative works, and commercial deployments using
   WHL technology are subject to a 33% royalty payable to Sayo Siglo as specified
   in the WHL Master Royalty Agreement. This obligation survives license termination.

5. AUDIT RIGHTS
   WHL retains the right to audit licensee usage via the hash-chained audit trail
   embedded in this software. Licensee agrees to maintain audit chain integrity
   and provide access upon reasonable request.

6. INTELLECTUAL PROPERTY
   All patents (P1-P22+), trade secrets, algorithms, architectures, and designs
   embodied in this software remain the exclusive property of WHL. No license
   grant transfers ownership of any intellectual property.

7. WARRANTY DISCLAIMER
   THIS SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WHL DISCLAIMS
   ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR
   A PARTICULAR PURPOSE.

8. LIMITATION OF LIABILITY
   IN NO EVENT SHALL WHL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR
   CONSEQUENTIAL DAMAGES ARISING FROM USE OF THIS SOFTWARE.

9. TERMINATION
   This license terminates automatically upon: (a) breach of any term, (b)
   non-payment of fees, (c) tampering with governance or metering systems, or
   (d) written notice from WHL. Upon termination, licensee must destroy all
   copies and certify destruction in writing.

10. GOVERNING LAW
    This license is governed by the laws of the United States of America.
