TERMS AND CONDITIONS
1. DEFINITIONS.
"Software" means the ENCODE MCP Server source code, documentation, skills,
reference files, configuration files, and all associated materials contained
in this repository, in any form (source, binary, or otherwise).
"Author" means Dr. Alex M. Mawla, PhD, the sole copyright holder.
"Derivative Work" means any work that is based on, incorporates, adapts,
translates, modifies, extends, or otherwise transforms the Software in whole
or in part, including but not limited to forks, ports, wrappers, plugins,
integrations, and any code that links to or depends on the Software.
"Commercial Use" means any use of the Software that is primarily intended for
or directed toward commercial advantage, monetary compensation, revenue
generation, or any form of financial gain, whether direct or indirect. This
includes, without limitation: incorporating the Software into a commercial
product or service; using the Software to provide paid services; offering the
Software as part of a hosted, managed, or cloud-based service; using the
Software in a business context to generate revenue; using the Software to
train commercial machine learning models; and bundling the Software with
commercially distributed products.
2. GRANT OF LIMITED LICENSE.
Subject to the terms and conditions of this license, the Author grants you a
limited, non-exclusive, non-transferable, non-sublicensable, revocable
license to use and copy the Software solely for personal, educational,
academic, and non-commercial research purposes.
This license does NOT grant you any right to:
(a) modify, adapt, translate, or create Derivative Works of the Software;
(b) distribute, sublicense, sell, lease, rent, or otherwise transfer the
Software or any rights therein to any third party;
(c) use the Software for any Commercial Use;
(d) reverse engineer, decompile, or disassemble the Software beyond what is
permitted by applicable law;
(e) remove, alter, or obscure any copyright notices, license terms, or
attribution contained in the Software.
3. DERIVATIVE WORKS PROHIBITED.
You may NOT create, distribute, publish, or make available any Derivative
Work based on the Software without prior written permission from the Author.
This prohibition applies regardless of whether the Derivative Work is
intended for commercial or non-commercial purposes.
Any Derivative Work created without written permission is an infringement of
the Author's copyright and may be subject to legal action.
4. COMMERCIAL USE STRICTLY PROHIBITED.
Any and all Commercial Use of the Software is strictly prohibited without a
separate written commercial license agreement executed by the Author.
Without limitation, the following are expressly prohibited without a
commercial license:
(a) incorporating the Software into any product or service offered for sale;
(b) using the Software to provide consulting, analysis, or data services
for compensation;
(c) offering the Software as a hosted service, API, SaaS platform, or
cloud-based tool, whether revenue-generating or not;
(d) using the Software in any corporate, government, or institutional
setting for purposes that generate or support revenue;
(e) using outputs generated by the Software in any commercial context;
(f) bundling, packaging, or distributing the Software alongside commercial
products.
5. ATTRIBUTION.
All permitted copies of the Software must retain, without modification:
(a) this license in its entirety;
(b) all copyright notices;
(c) all attribution and authorship information.
6. NO REDISTRIBUTION.
You may not redistribute, publish, host, mirror, or otherwise make the
Software available to third parties in any form without prior written
permission from the Author. Internal use within a single academic research
group under the direct supervision of a single principal investigator is
permitted, provided all members comply with the terms of this license.
7. TERMINATION.
This license is effective until terminated. Your rights under this license
will terminate automatically without notice if you fail to comply with any
of its terms. Upon termination, you must immediately cease all use of the
Software and destroy all copies in your possession or control.
The Author reserves the right to revoke this license at any time for any
reason upon written notice.
8. DISCLAIMER OF WARRANTY.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND
NONINFRINGEMENT. THE AUTHOR MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET
YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.
9. LIMITATION OF LIABILITY.
IN NO EVENT SHALL THE AUTHOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER
LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING
FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER
DEALINGS IN THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT,
INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.
10. GOVERNING LAW.
This license shall be governed by and construed in accordance with the laws
of the State of California, United States of America, without regard to its
conflict of law provisions.
11. SEVERABILITY.
If any provision of this license is held to be unenforceable or invalid,
such provision shall be modified to the minimum extent necessary to make it
enforceable, and the remaining provisions shall continue in full force and
effect.
12. ENTIRE AGREEMENT.
This license constitutes the entire agreement between you and the Author
regarding the Software and supersedes all prior negotiations, representations,
or agreements relating to the Software.
