END USER LICENSE AGREEMENT

for EXORBYTE M|BOX Python SDK

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING, COPYING OR USING THE SOFTWARE.

This is a legal agreement between you (“Customer”) and exorbyte GmbH, Turmstraße 16, 78467 Konstanz, Germany (“EXORBYTE”), for the M|BOX Python SDK (the “Licensed Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this License Agreement. If you do not agree, do not install or use the Software.


1. License Terms

EXORBYTE grants the Customer a non-exclusive, non-transferable, and non-sublicensable license (“License”) to install and use the Licensed Software as a Python Software Development Kit (SDK) in accordance with this Agreement and any applicable Product Terms.

The Customer may copy the Licensed Software solely for backup or archival purposes, provided that all proprietary notices remain intact.

The Customer may not:

(i) permit third parties to use the Licensed Software except as explicitly authorized,

(ii) modify, translate, reverse engineer, decompile, or disassemble (except where permitted by law and after EXORBYTE has been given the opportunity to provide interoperability information),

(iii) create derivative works based on the Licensed Software,

(iv) sell, rent, lease, assign, or otherwise transfer rights to the Licensed Software,

(v) use the Licensed Software to provide services to third parties,

(vi) remove proprietary notices,

(vii) copy the Licensed Software except as expressly permitted,

(viii) separate or use included component software independently,

(ix) circumvent, disable or interfere with any licensing, activation or technical protection mechanism of the Licensed Software,

(x) use the Licensed Software beyond the technical limitations of the applicable License.


2. Included Developer License

Version 0.1.0 of the Licensed Software includes a built-in Developer License.

Unless replaced by another valid license issued by EXORBYTE, the included Developer License is subject to the following conditions:

* valid until 30 June 2027;
* maximum 10,000 indexed records;
* unlimited recall operations;
* non exclusive;
* non transferable;
* non sublicensable;
* non-commercial use only.

The included Developer License may be used solely for:

* software development;
* testing;
* evaluation;
* proof of concept implementations.

The Developer License does not permit:

* productive operation;
* commercial use;
* internal business processes;
* customer projects;
* software as a service (SaaS);
* managed services;
* operation of applications that directly or indirectly generate commercial value.

Upon expiration of the included Developer License, continued use of the Licensed Software requires a valid replacement license issued by EXORBYTE.

3. Commercial Licenses

Commercial licenses may be purchased separately from EXORBYTE.

Product specific license types, technical limitations, subscription plans and pricing are published by EXORBYTE and may change over time.

License limitations may be enforced technically by the Licensed Software.


4. Term and Termination

This Agreement remains in effect until terminated or until the expiration of the applicable License term.

EXORBYTE may terminate this Agreement immediately upon written notice if the Customer breaches any material term of this Agreement.  

Upon termination or expiration of this Agreement for any reason, the Customer shall immediately cease all use of the Licensed Software and destroy or delete all copies of the Licensed Software in its possession or control. Sections 6, 8, 9, 10, 11, 12, 13, 14, and 15 shall survive any termination or expiration of this Agreement. 


5. Maintenance, Updates, and Support

This Agreement does not entitle the Customer to any maintenance, technical support, updates, or upgrades for the Licensed Software, unless expressly agreed upon in writing or provided under a separate service level agreement (SLA).

If EXORBYTE, at its sole discretion, provides the Customer with any updates, patches, or modifications to the Licensed Software, such updates shall be deemed part of the Licensed Software and subject to the terms and conditions of this Agreement.  


6. Export Control

The Customer agrees to comply with all applicable export control laws and regulations, including those of the European Union and the United States. The Licensed Software may not be exported or re-exported:

(i) into any country subject to embargo by the EU or U.S.,

(ii) to any person on the U.S. Treasury Department’s list of Specially Designated 
Nationals or the U.S. Department of Commerce Denied Persons List.

By using the Licensed Software, the Customer represents and warrants that they are not located in or under control of any such country or person.


7. Component Software and Open Source Materials

The Licensed Software may include third-party components and Open Source Materials. These are provided under their respective licenses. EXORBYTE does not claim ownership of Open Source Materials and supplies them solely under the terms of their original licenses (e.g., Apache 2.0, Eclipse Public License).

Customer may not:

(i) remove, separate, or use these components independently,

(ii) use the Software without the included components.

The limitations of liability in this Agreement also apply to Open Source Materials.


8. Limited Warranty and Indemnification

EXORBYTE represents that it is the owner or authorized licensee of all rights necessary to grant this License and, to the best of its knowledge, the use of the Licensed Software does not infringe third-party intellectual property rights.

EXORBYTE will defend and indemnify the Customer and Customer’s Affiliates against any legal claim that the Licensed Software infringes third-party intellectual property rights, provided that:

(i) the Customer promptly notifies EXORBYTE in writing,

(ii) EXORBYTE controls the defense and/or settlement of the claim,

(iii) the Customer provides reasonable cooperation.

This warranty does not apply if the claim arises from:

(a) unauthorized modifications by the Customer,

(b) use contrary to documentation or license terms,

(c) combination with third-party software or hardware not provided by EXORBYTE,

(d) implementation or installation not in accordance with EXORBYTE’s instructions,

(e) negligence or willful misconduct of the Customer,

(f) content provided by the Customer, its affiliates, content owners, end users, or third parties.


9. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE LICENSED SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.

EXORBYTE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

The Customer assumes full responsibility for selecting, installing, and operating the Software in their environment and bears the sole cost and risk of using any hardware or third-party infrastructure.


10. Limitation of Liability

To the maximum extent permitted by law:

EXORBYTE shall not be liable for any indirect, incidental, consequential, or special damages (including loss of profits, loss of data, or business interruption), even if advised of the possibility of such damages.

EXORBYTE’s total aggregate liability under this Agreement shall not exceed the greater of:

(i) the fees paid by the Customer for the Licensed Software during the preceding twelve (12) months; or

(ii) EUR 100.

This limitation of liability also applies to Customer’s Affiliates and includes liability for damages caused by content provided by the Customer, end users, content owners, or other third parties.


11. Customer Representations and Obligations

The Customer represents that:

(i) it has the legal authority to enter into this Agreement,

(ii) it is a legally organized and existing entity under applicable laws,

(iii) it has the power and authority to execute this Agreement and fulfill its obligations.

The Customer agrees to indemnify and hold harmless EXORBYTE from any claim, loss, cost, or expense (including reasonable legal fees) arising from a breach of these representations or misuse of the Software by the Customer or its Affiliates.


12. Limitation Period

No action, regardless of form, arising under this Agreement may be brought more than one (1) year after the cause of action has arisen.


13. Ownership and Intellectual Property

All title, ownership rights, and intellectual property in and to the Licensed Software remain with EXORBYTE and its licensors.

The Software is protected by copyright and international treaties. This License does not grant the Customer any ownership rights. The Licensed Software is licensed, not sold.

All rights not expressly granted are reserved.


14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of laws principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

If the Customer is a merchant, legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement shall be Konstanz, Germany.


15. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Licensed Software and supersedes all prior oral or written agreements relating to its subject matter.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
