TERMS AND CONDITIONS

1. GRANT OF LICENSE

   Subject to the terms of this Agreement and payment of applicable fees,
   Clouthier Simulation Labs ("Licensor") grants you ("Licensee") a limited,
   non-exclusive, non-transferable license to use QuarterBit software.

2. LICENSE TIERS

   FREE TIER ($0/month):
   - For research, evaluation, and non-commercial use only
   - Limited to 5 GPU-hours per month
   - Single machine activation
   - No redistribution rights
   - Must include attribution in publications

   ACADEMIC TIER ($0/month):
   - For academic and educational use
   - Limited to 10 GPU-hours per month
   - Single machine activation
   - No redistribution rights

   PRO TIER ($49 USD/month):
   - Commercial use permitted
   - Unlimited GPU-hours
   - Up to 10 machine activations
   - Email support
   - No redistribution rights

   TEAM TIER ($299 USD/month):
   - Commercial use permitted
   - Unlimited GPU-hours
   - Up to 100 machine activations
   - Direct engineer access
   - Internal redistribution within organization

   ENTERPRISE TIER (Contact for pricing):
   - Unlimited GPU-hours
   - Unlimited machine activations
   - Dedicated support
   - Custom licensing terms available

3. RESTRICTIONS

   You may NOT:
   a) Redistribute, sublicense, or transfer the software without authorization
   b) Reverse engineer, decompile, or disassemble the software
   c) Remove or alter any proprietary notices
   d) Use the software to develop competing products
   e) Share license keys or bypass licensing mechanisms

4. INTELLECTUAL PROPERTY

   The software contains proprietary algorithms and trade secrets.
   All rights, title, and interest remain with the Licensor.

5. WARRANTY DISCLAIMER

   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
   LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

6. LIMITATION OF LIABILITY

   IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
   SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SOFTWARE.

7. TERMINATION

   This license terminates automatically if you breach any terms.
   Upon termination, you must destroy all copies of the software.

8. GOVERNING LAW

   This Agreement is governed by the laws of Ontario, Canada.
